These Terms of Use ("Terms") are a legal agreement between you and NextPhase Web & Ads, LLC ("NextPhase," "we," "us," or "our") regarding nextphasewebandads.com (the "Site"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
1. Site purpose and eligibility
The Site provides information about our website design and management, Google Business Profile, Google Ads, AI receptionist, automation, and related services. It also allows prospective clients to contact us.
You must be at least 18 years old and legally able to enter an agreement to use the Site. If you use it for a business or organization, you represent that you are authorized to act for that entity.
2. Client services require a separate agreement
Site content, package descriptions, starting prices, timelines, examples, and consultation discussions are general information and are not a binding offer or guarantee. Paid work begins only under a mutually accepted proposal, service agreement, statement of work, order, or similar written agreement.
That separate agreement governs project scope, deliverables, payment, cancellation, ownership, support, and other client-service terms. If it conflicts with these Terms, the separate agreement controls for those services. Third-party charges, including advertising spend, platform fees, domains, and other subscriptions, are separate unless a written agreement expressly says otherwise.
3. Acceptable use
You agree not to:
- Use the Site in violation of law or another person's rights.
- Attempt to gain unauthorized access to the Site, its servers, accounts, APIs, forms, or connected systems.
- Introduce malware, interfere with operation, bypass security, scrape the Site abusively, or overwhelm it with automated requests.
- Impersonate another person, submit deceptive information, or use the Site to distribute unlawful, infringing, or harmful material.
- Copy, modify, sell, or exploit Site content except as these Terms or law expressly permit.
4. Information you submit
You represent that information you submit is accurate, that you are authorized to provide it, and that it does not violate another person's rights. You grant us the limited permission necessary to receive, store, transmit, review, and respond to your submission and to evaluate or provide requested services.
Do not submit highly sensitive information or third-party confidential material through the Site. Submission of an inquiry does not create an attorney-client, fiduciary, employment, partnership, or client-service relationship. Our handling of personal information is described in our Privacy Policy.
5. Intellectual property
The Site and its original text, graphics, branding, layout, code, and other content are owned by NextPhase or licensed to us and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for lawful personal or internal business evaluation.
Client names, logos, screenshots, and third-party marks shown in portfolio or informational content belong to their respective owners. Their appearance does not grant you a license to use them.
6. Third-party services and links
The Site may rely on or link to third-party services, platforms, websites, or content. We do not control them and are not responsible for their availability, security, accuracy, terms, or privacy practices. Your use of a third-party service is governed by that provider's terms.
7. No guaranteed business results
Examples, case studies, projections, rankings, traffic, leads, conversions, advertising performance, and other results are illustrative. Actual results depend on factors outside our control, including your market, competition, budget, offer, platform policies, customer behavior, and timely cooperation. We do not guarantee a particular ranking, lead volume, revenue amount, or business outcome through the Site.
8. Disclaimers
To the fullest extent permitted by law, the Site is provided "as is" and "as available." We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation.
Site content is general business and marketing information, not legal, accounting, tax, investment, or other regulated professional advice. You are responsible for evaluating information and obtaining appropriate professional advice for your circumstances.
9. Limitation of liability
To the fullest extent permitted by law, NextPhase and its owners, personnel, contractors, and providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, opportunities, or business interruption arising from or related to the Site or third-party services.
To the fullest extent permitted by law, our total liability arising from or related to the Site will not exceed the amount, if any, you paid NextPhase specifically to access or use the Site during the 12 months before the event giving rise to the claim. A separate client agreement controls liability related to paid client services. These limitations do not apply where law prohibits them.
10. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless NextPhase and its owners, personnel, and contractors from third-party claims, damages, losses, and reasonable costs arising from your unlawful misuse of the Site, your violation of these Terms, or information you submit without required rights or authorization.
11. Governing law and dispute resolution
Georgia law governs these Terms, without regard to conflict-of-law rules. Before filing a claim, you and NextPhase agree to provide written notice and attempt in good faith to resolve the dispute informally for at least 30 days. If it remains unresolved, the parties will attempt good-faith mediation with a mutually agreed mediator in Fulton County, Georgia, before pursuing court proceedings, except for eligible small-claims matters or requests for urgent injunctive relief.
Subject to the preceding process and to the extent permitted by law, the state courts located in Fulton County, Georgia, and the federal courts in the Northern District of Georgia will have exclusive jurisdiction. Each party consents to personal jurisdiction and venue there.
12. Suspension and Site changes
We may change, suspend, restrict, or discontinue any part of the Site at any time. We may block access when we reasonably believe a user has violated these Terms or threatens the Site, users, or our business. Provisions that by their nature should survive will remain in effect after access ends.
13. Changes to these Terms
We may update these Terms by posting a revised version and changing the date above. Changes apply prospectively when posted unless law requires different notice. Continued use after an update means you accept the revised Terms.
14. General terms
If any provision is held unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a business reorganization or transfer. These Terms and the Privacy Policy are the entire agreement concerning use of the Site, subject to any separate client agreement.
